Purchase Terms

These Purchase Terms (“Purchase Terms”) govern the sale of products by Mitolux LLC (“Mitolux,” “we,” “us,” or “our”) to the purchaser identified in the order (“Purchaser,” “you,” or “your”).

By placing an order through www.mitolux.com, a checkout link, invoice, or other Mitolux-approved sales channel, you agree to these Purchase Terms and to the other policies, warnings, and documents provided or made available by Mitolux.

1. Definitions

“Product” means any Mitolux product, device, accessory, replacement part, charger, stand, mount, component, or related item sold by Mitolux.

“Order” means a submitted order for a Product, whether placed through the Mitolux website, a checkout link, invoice, or other Mitolux-approved sales channel.

“Purchaser” means the person or entity placing the Order.

“User” means the person who will actually operate, use, or be exposed to the Product.

“Written Instructions” means the Product labeling, user manual, quick-start guide, warning labels, checkout disclosures, contraindications, exposure schedule, minimum-distance requirements, maintenance instructions, and any materially consistent updates made available by Mitolux at:

2. Eligibility

You represent that you are at least 18 years old when placing an Order.

Mitolux products are not intended for use by minors. The Product may not be used by anyone under 18 years of age.

If the Purchaser is not the User, the Purchaser must provide the User with access to the Written Instructions, Important Safety Warnings, User Acknowledgment of Warnings and Operating Instructions, and Release of Liability and Assumption of Risk before first use, where applicable.

Mitolux may require the intended adult User to separately review and accept required safety, acknowledgment, and release documents before shipment or before first use, as applicable.

3. Order Acceptance

Submitting an Order does not mean the Order has been accepted.

An Order is accepted only when Mitolux sends an order-confirmation notice or ships the Product, whichever occurs first.

Mitolux may reject or cancel an Order before acceptance for reasons including inventory limitations, payment issues, suspected fraud, compliance concerns, pricing errors, shipping restrictions, incorrect information, or other legitimate business reasons.

If Mitolux cancels a prepaid Order before shipment, Mitolux will refund the amount actually paid for the unshipped Order.

4. Product Information and Intended Use

The Product must be used only for its intended purpose and only in accordance with the Written Instructions.

Purchaser and User agree not to rely on any statement, image, advertisement, review, video, social media post, customer comment, or website content that is inconsistent with the Written Instructions.

Website content, product descriptions, FAQs, educational materials, or marketing materials are provided for general informational purposes only and do not replace the Written Instructions.

5. Written Instructions Control

In the event of any inconsistency between promotional content, website content, advertising content, social media content, customer-service statements, or other general materials and the Written Instructions, the Written Instructions control.

Safe and proper use of the Product depends on following the Written Instructions, including all safety warnings, contraindications, exposure limits, distance requirements, protective eyewear requirements, positioning requirements, frequency guidance, ventilation requirements, maintenance instructions, and other applicable instructions.

6. No Medical Advice

Mitolux does not provide medical advice.

The Product and any related website content, educational content, product information, protocols, manuals, FAQs, or customer-support communications are not intended to diagnose, treat, cure, or prevent any disease and are not a substitute for professional medical judgment.

Users are responsible for reviewing all safety warnings, contraindications, and Written Instructions and for consulting a qualified healthcare professional when appropriate.

7. No Unauthorized Modifications, Repairs, or Accessories

Purchaser and User may not modify, tamper with, disassemble except as expressly permitted, repair through unauthorized persons, bypass safety features, or use non-approved accessories if doing so would conflict with the Written Instructions or product safety requirements.

The Product should not be used if it appears damaged, altered, malfunctioning, unsafe, or inconsistent with the condition described in the Written Instructions.

8. Shipping and Delivery

Shipping and delivery are governed by Mitolux’s Shipping Policy, available at:

Purchaser is responsible for providing complete and accurate billing, shipping, phone, and email information.

Purchaser should inspect the shipment promptly upon delivery. Any shipping damage, visible loss, or shipment shortage should be reported to Mitolux Support within a reasonable time after delivery and in accordance with the Shipping Policy and Return Policy.

This administrative notice requirement applies only to shipping discrepancy issues and does not shorten or waive any non-waivable legal right, claim, or applicable limitations period.

9. Returns and Refunds

Returns, exchanges, and refunds are governed by Mitolux’s written Return Policy in effect on the date of the Order and provided or linked at checkout.

No return, exchange, or refund right exists except as stated in the Return Policy or as otherwise required by applicable law.

10. Limited Warranty

Any warranty for the Product is limited to the express written Limited Warranty provided by Mitolux.

Except as expressly stated in the written Limited Warranty actually provided by Mitolux, and except as otherwise required by applicable law, Mitolux makes no additional representation or warranty about the Product.

11. Product Results and Individual Experience

Individual responses and experiences may vary.

Mitolux does not guarantee any specific outcome, result, benefit, level, measurement, or personal response from use of the Product.

Proper use of the Product depends on strict compliance with the Written Instructions and all applicable safety requirements.

12. Prohibited Conduct

Purchaser and User may not use the Product:

In any unlawful manner;
Contrary to the Written Instructions;
On, by, or for any person under 18 years of age;
After unauthorized modification, repair, tampering, or alteration;
With non-approved accessories if doing so conflicts with the Written Instructions;
In any resale, clinical, commercial, institutional, rental, or multi-user setting unless expressly authorized by Mitolux in writing;
If the Product appears damaged, malfunctioning, altered, or unsafe.

13. Purchaser Buying for Another Adult User

If Purchaser buys the Product for another adult User, Purchaser confirms that the intended User is at least 18 years old.

Purchaser understands that the intended adult User may be required to separately review and accept the Important Safety Warnings, User Acknowledgment of Warnings and Operating Instructions, and Release of Liability and Assumption of Risk before shipment or before first use, as applicable.

Purchaser is not authorized to sign a personal-injury release on behalf of another adult User unless legally authorized and accepted by Mitolux in writing.

Mitolux may place shipment or order processing on hold until the required adult User acceptance flow is completed.

14. Electronic Records and Communications

Purchaser agrees that Mitolux may provide records, notices, policy updates, order communications, safety communications, transactional communications, and related documents electronically.

Electronic acceptance, electronic signatures, checkbox acknowledgments, typed-name acknowledgments, timestamps, IP records, and electronic records shall have the same effect as handwritten signatures and paper records to the maximum extent permitted by law.

15. Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MITOLUX SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE ORDER, DELAY IN DELIVERY, PRODUCT USE, PRODUCT MISUSE, FAILURE TO FOLLOW WRITTEN INSTRUCTIONS, OR USE OF THE PRODUCT OUTSIDE THE PROVIDED SAFETY REQUIREMENTS.

THIS SECTION DOES NOT EXCLUDE OR LIMIT LIABILITY TO THE EXTENT SUCH EXCLUSION OR LIMITATION IS PROHIBITED BY LAW.

16. No Waiver of Non-Waivable Consumer Rights

Nothing in these Purchase Terms is intended to waive, limit, or disclaim any right or remedy that cannot lawfully be waived, limited, or disclaimed under applicable law.

17. Changes to Purchase Terms

Mitolux may revise these Purchase Terms prospectively by posting updated Purchase Terms for future Orders.

The version in effect at the time of the Order governs that Order, unless otherwise required by applicable law.

18. Governing Law and Forum

These Purchase Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles, except to the extent that non-waivable consumer-protection law of your state of residence applies.

Unless applicable law requires otherwise, any dispute relating to these Purchase Terms or the Order must be brought in the state or federal courts located in Dallas County, Texas, and Purchaser consents to personal jurisdiction in those courts.

19. Severability

If any provision of these Purchase Terms is held invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

20. Entire Agreement for the Order

These Purchase Terms, together with the Return Policy, Shipping Policy, Limited Warranty, Important Safety Warnings, User Acknowledgment of Warnings and Operating Instructions, Release of Liability and Assumption of Risk, Written Instructions, and any other transaction-specific documents provided by Mitolux, constitute the entire agreement relating to the Order and the Product.

In the event of a conflict between these Purchase Terms and a more specific Mitolux policy, product-use document, safety document, warranty document, or release document, the more specific document will control that subject matter.
